Refund Policy

Introduction

This Refund Policy ("Policy") governs refunds for services and products provided by SonicSpark LLC ("we", "our", "us", or "Company"). This policy applies to both our agency services (including but not limited to MVP development, custom software development, AI solutions, and consulting services) and our proprietary SaaS products and mobile applications.

1. Agency Services Refund Policy

1.1 Custom Development Services

For custom development services including MVP development, full-stack development, AI/ML solutions, and other bespoke services:

  • Project Initiation: Once a project has been initiated and work has commenced, refunds are generally not available. However, we will work with clients to resolve any issues or concerns.
  • Pre-Project Cancellation: If you cancel a project before work has commenced, you may be eligible for a full refund minus any non-refundable deposits or administrative fees as specified in your service agreement.
  • Milestone-Based Projects: For projects with milestone-based payments, refunds are only available for payments made for milestones that have not yet been started. Once work on a milestone begins, that payment is non-refundable.
  • Unsatisfactory Work: If you are not satisfied with the delivered work, please contact us within 7 days of delivery. We will work with you to address concerns and make necessary revisions. If we are unable to resolve the issue to your satisfaction, we may offer a partial refund at our discretion.

1.2 Consulting Services

For consulting and advisory services:

  • Refunds are not available for completed consulting sessions or advisory services that have been delivered.
  • If you need to cancel a scheduled consultation, please provide at least 48 hours notice. Cancellations made with less than 48 hours notice may not be eligible for a refund.
  • Prepaid consultation packages may be eligible for a partial refund if cancelled before any sessions have been conducted, subject to a 10% administrative fee.

1.3 Retainer Agreements

For ongoing retainer agreements:

  • Retainer fees are non-refundable once services have been rendered.
  • Unused retainer balances may be refunded at the end of the retainer period if no services were provided, subject to our review and approval.
  • Early termination of retainer agreements may be subject to terms specified in your individual service agreement.

2. SaaS Products and Mobile Applications Refund Policy

2.1 Subscription-Based Services

For our SaaS products including but not limited to Learnerly AI, VibePdf, Tasking AI, GuardianSight.AI, and other subscription-based services:

  • Free Trials: Free trial periods are provided at no cost. No refund is applicable as no payment is required.
  • Monthly Subscriptions: Monthly subscription fees are non-refundable once the subscription period has begun. You may cancel your subscription at any time, and it will not renew for the next billing cycle.
  • Annual Subscriptions: Annual subscription fees are generally non-refundable. However, if you cancel within the first 30 days of your annual subscription and have not used the service extensively, you may be eligible for a prorated refund at our discretion, minus a 10% administrative fee.
  • Service Interruptions: If our service is unavailable for more than 48 consecutive hours due to our fault, we will provide a prorated credit or refund for the affected period.

2.2 One-Time Purchases

For one-time purchases of software licenses, mobile applications, or digital products:

  • Refunds are available within 14 days of purchase if the product is defective or does not function as described.
  • Refunds are not available if you simply change your mind or if you have used the product extensively.
  • Digital downloads that have been accessed or downloaded are generally non-refundable unless the product is defective.

2.3 In-App Purchases

For in-app purchases within our mobile applications:

  • In-app purchases are generally non-refundable once the purchase is completed.
  • Refunds may be available for accidental purchases if requested within 48 hours, subject to platform policies (Apple App Store, Google Play Store).
  • Refund requests for in-app purchases must be processed through the respective app store platform (Apple or Google) in accordance with their policies.

3. General Refund Terms

3.1 Refund Processing

  • All refund requests must be submitted in writing to [email protected].
  • Refund requests should include your order number, purchase date, and reason for the refund request.
  • We will review your request and respond within 5-7 business days.
  • Approved refunds will be processed to the original payment method within 10-14 business days.

3.2 Non-Refundable Items

The following are non-refundable:

  • Services that have been fully completed and delivered
  • Custom development work that has been completed and accepted by the client
  • Third-party fees, licenses, or costs incurred on behalf of the client
  • Administrative fees or setup fees as specified in service agreements
  • Services cancelled due to client's breach of agreement

3.3 Chargebacks

If you initiate a chargeback or dispute with your payment provider without first contacting us to resolve the issue, we reserve the right to:

  • Dispute the chargeback with evidence of service delivery
  • Terminate your account and any ongoing services
  • Pursue collection of any outstanding fees plus associated costs

4. Special Circumstances

4.1 Force Majeure

We are not liable for delays or failures in performance resulting from circumstances beyond our reasonable control, including but not limited to natural disasters, pandemics, government actions, or internet failures.

4.2 Service Modifications or Discontinuation

If we discontinue a service or significantly modify it in a way that materially affects functionality, we will provide at least 30 days notice. You may be eligible for a prorated refund for the remaining subscription period if you choose to cancel.

5. Dispute Resolution

If you have a dispute regarding a refund, please contact us first at [email protected]. We are committed to resolving disputes fairly and promptly. If we cannot resolve the dispute, you may pursue other remedies available under applicable law.

6. Changes to This Policy

We reserve the right to modify this Refund Policy at any time. Changes will be effective immediately upon posting on this page. Your continued use of our services after changes are posted constitutes acceptance of the modified policy.
